Placeholder notice. Bracketed items such as [LEGAL ENTITY] and [REGISTERED ADDRESS] must be replaced with the operating company’s details before launch. This text is a working draft, not legal advice.

1. Who we are

The HarperHarbor platform (“the Platform”) is operated by [LEGAL ENTITY] (“we”, “us”), registered at [REGISTERED ADDRESS]. Contact: hello@harperharbor.com.

2. Services

The Platform provides a shared account, a prepaid points wallet, and programmatic access to AI conversation and card-authoring services (“Services”) to end users (“Users”) and to third-party applications integrated with the Platform (“Apps”). Apps are groupings of Users; they do not hold User funds and do not charge Users.

3. Accounts

You must be at least 18 years old, or the age of majority where you live, to create an account or purchase points. You are responsible for keeping your credentials secure and for all activity under your account. One person may hold one account.

4. Points and payment

  • Points are a prepaid credit used to pay for Services on the Platform. They are sold in packs priced in US dollars (USD); the price and the quantity are shown before you confirm a purchase.
  • Points do not expire. They are not currency, have no cash value outside the Platform, and cannot be transferred between accounts.
  • Every Service call debits points from your wallet at the rate displayed at the moment of use. Rates are published per model and lane in the console and inside the product.
  • Payments are processed by Stripe. We do not store your full card number. Stripe’s own terms apply to the payment transaction.
  • Refunds and cancellations are governed by our Refund and Cancellation Policy. Delivery of points is described in our Fulfillment Policy.

5. Acceptable use

You agree not to: use the Services to produce or distribute unlawful content; attempt to extract, reverse-engineer or resell upstream model access; interfere with the Platform’s security, quotas or metering; impersonate another person; or use the Services where doing so is prohibited by law. Apps must additionally comply with the developer terms in the console when they are published.

6. Content

You keep the rights to the cards, worldbooks, notes and messages you create. You grant us the licence needed to store, process and display them to operate the Services. Content that is published for review may be shown to reviewers. We may remove content that violates these Terms.

7. App access

An App can see only the Users who authorized it, never balances or activity in other Apps. You can revoke an App’s access at any time from your account page; its tokens stop working immediately.

8. Availability and changes

The Services are provided “as is”. Model lanes, prices and features may change; the current rate is always the one displayed. We may suspend the Services for maintenance or to protect the Platform.

9. Limitation of liability

To the extent permitted by law, our total liability for any claim relating to the Services is limited to the amount you paid for points in the twelve months before the claim. We are not liable for indirect or consequential loss.

10. Termination

You may close your account at any time. We may suspend or terminate accounts that breach these Terms. On termination, unused points are handled under the Refund and Cancellation Policy.

11. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION]. Disputes will be resolved in the courts of [JURISDICTION] unless mandatory consumer law says otherwise.

12. Changes to these Terms

We will post changes here with a new “updated” date and, for material changes, notify you in the console or by email at least 14 days before they take effect.
